Aelith Pay Terms of Service

These Terms of Service (the "Terms") govern your access to and use of Aelith Pay, including our websites, APIs, dashboards, and related products and features (collectively, the "Service") provided by Aelith.Ai ("Aelith", "we", "us", or "our"). By accessing or using the Service, you agree to these Terms.
1. Agreement to Terms
By creating an account, accessing the Service, or using any part of the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Definitions
- "Account" means the credentials and profile associated with a user or merchant.
- "Merchant" means a business or individual using the Service to accept payments.
- "Content" means any data, text, graphics, or other materials you provide to or through the Service.
- "Wallet" means a blockchain address or software/hardware wallet that holds digital assets.
3. Eligibility
You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with the consent of a parent or legal guardian. The Service is not intended for children under 13, and we do not knowingly allow such use. By using the Service, you represent and warrant that you meet these requirements and have the authority to enter into these Terms.
4. Account Registration and Security
You agree to provide accurate, current, and complete information when creating an Account, including name, email, password, and date of birth where required. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your Account. You must notify us immediately of any unauthorized use or security breach.
5. Service Overview
Aelith Pay provides tools to create payment links, invoices, checkouts, and APIs that facilitate digital asset and stablecoin payments. We do not control the underlying blockchain networks and cannot guarantee transaction confirmation times, network availability, or exchange rates.
You acknowledge that blockchain transactions are typically irreversible. You are responsible for verifying wallet addresses, amounts, and transaction details before initiating or accepting a payment.
6. Compliance, Sanctions, and Risk Controls
We conduct sanctions screening, transaction monitoring, and other compliance checks as required or deemed necessary. You authorize us and our service providers to collect and use information for these purposes, including sharing data with compliance vendors and government authorities where required by law.
We may refuse, suspend, or terminate access to the Service if we determine that your activity violates law, sanctions, or these Terms, or presents a risk to Aelith or other users.
7. Fees, Taxes, and Billing
Fees for the Service are described in the pricing page or within the Service. You authorize us to charge applicable fees, including subscription fees and transaction fees, according to your selected plan. Taxes may apply and are your responsibility unless otherwise stated.
Paid plans renew automatically unless you cancel. You may cancel at any time, and cancellation will take effect at the end of your current billing period. Except where required by law, fees are non-refundable.
We may update fees or plans with reasonable advance notice. Your continued use of the Service after the effective date constitutes acceptance of the updated pricing.
8. Wallets, Keys, and Blockchain Risks
You are solely responsible for the security of your wallets, private keys, and recovery phrases. Aelith does not custody your digital assets. Loss of keys may result in permanent loss of assets, and Aelith is not responsible for such loss.
Blockchain networks are decentralized and may experience outages, delays, or forks. Aelith is not liable for network failures, congestion, or losses caused by third-party networks.
9. Acceptable Use
You agree not to:
- Use the Service for unlawful, fraudulent, or deceptive purposes.
- Facilitate money laundering, terrorist financing, sanctions evasion, or other prohibited activity.
- Interfere with or disrupt the Service, including by attempting to access systems or data you are not authorized to access.
- Infringe any intellectual property or proprietary rights of any person or entity.
- Use the Service to transmit malware, spam, or malicious code.
10. Content and License
You retain ownership of your Content. You grant Aelith a non-exclusive, worldwide, royalty-free license to use, host, store, reproduce, and display your Content solely to provide and improve the Service and to comply with legal obligations.
11. Third-Party Services
The Service may integrate with third-party services, including blockchain networks, analytics providers, hosting services, and communication tools. We are not responsible for third-party services and do not warrant their performance, availability, or security.
12. Intellectual Property
Aelith and its licensors own all rights, title, and interest in and to the Service, including all intellectual property rights. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.
13. Feedback
If you provide suggestions or feedback, you grant Aelith a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that feedback without compensation to you.
14. Suspension and Termination
We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms or legal requirements. You may stop using the Service at any time. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and indemnity.
15. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AELITH DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AELITH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AELITH'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO AELITH FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) USD $100.
17. Indemnification
You agree to indemnify and hold harmless Aelith and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorney fees) arising out of your use of the Service, your Content, or your violation of these Terms or applicable law.
18. Governing Law and Venue
These Terms are governed by the laws of the State of New York, United States, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to their jurisdiction and venue.
19. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by other means. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
